Terms of Service

1. Acceptance of terms

These Terms of Service are an agreement between you and [Company legal name] ("ReqPath", "we", or "us"). By accessing or using ReqPath (the "Service"), you agree to these terms and to our Privacy Policy. If you are agreeing on behalf of a school or organization, you represent that you have the authority to bind it to these terms. If you do not agree, do not use the Service.

2. The Service

ReqPath provides course planning tools for schools, including a class catalog, a prerequisite tree builder, scheduling, an AI advisor, and student course planning. We may add, change, or remove features as the Service develops, and we will make reasonable efforts to give notice of significant changes.

3. Accounts

• You are responsible for keeping your sign-in credentials secure and for all activity under your account.
• You agree to provide accurate information and to keep it up to date.
• Student, teacher, and counselor accounts are created and managed by the school. The school is responsible for the accounts it creates, the roles it assigns, and obtaining any consents required to add students and their data.
• Notify us promptly at [email protected] if you suspect unauthorized use of an account.

4. Acceptable use

When using ReqPath, you agree not to:

• Break the law or violate the rights of others.
• Attempt to access data or accounts that are not yours, or probe, scan, or test the security of the Service without our written permission.
• Upload malicious software, disrupt the Service, or place an unreasonable load on our infrastructure.
• Reverse-engineer, resell, or sublicense the Service except as expressly permitted.
• Use the Service to harass, abuse, or harm others.

We may suspend or terminate accounts that violate these terms.

5. Fees and billing

Entry fee

Registering a school requires a one-time entry fee of $1. The entry fee gives the school access to the Service's features before it adds students (the dashboard shows this as the trial plan). It is not a free trial, and it is not refunded or credited toward later charges. The number of student accounts allowed before a paid plan is shown on our pricing page.

Annual subscription

Paid plans are billed annually per student, with graduated tiers: each tier's rate applies only to the students within that tier. The school chooses its number of student seats. The subscription renews automatically each year at the seat count in effect at renewal, at the prices then published on our pricing page.

Additional students

A school that needs more student seats before renewal can add them for a one-time fee at its current tier rate. These seats are not added to the recurring subscription; to keep them, the school includes them in its seat count at renewal.

Payments, renewal, and cancellation

• Payments are processed by Stripe. By paying, you also agree to Stripe's terms.
• A school can turn off automatic renewal from its dashboard at any time. Access continues until the end of the paid term.
• Except where required by law, fees that have been paid are non-refundable, including for a partial term.

6. Your data

The school owns the data it puts into ReqPath, including its catalog, rosters, schedules, plans, and selections. We claim no ownership of it. The school grants us a limited license to host, process, and display that data only to provide the Service.

We handle personal information, including student data, as described in our Privacy Policy. If a school and ReqPath have signed a data privacy agreement and it conflicts with these terms, the agreement controls for that school.

7. AI features

The AI advisor generates suggestions based on the school's catalog, a student's course plan, and the student's messages. Requests are processed by third-party AI providers, as described in our Privacy Policy. Suggestions are drafts that assist, and do not replace, human judgment. Students and school staff make the final decisions about course plans. We do not guarantee that AI suggestions are complete, accurate, or suitable for every situation, and users should review them before acting on them. Schools can turn the AI advisor off.

8. Intellectual property

The ReqPath service, including its software, design, branding, and the content we provide, is owned by ReqPath and protected by intellectual property laws. These terms do not grant you any rights to our trademarks or branding except as needed to use the Service.

9. Service availability

We work to keep ReqPath available and reliable, but we do not guarantee uninterrupted access. The Service is provided "as is" and "as available." We may need to perform maintenance, and downtime may occur for reasons outside our control.

10. Disclaimers and limitation of liability

To the fullest extent permitted by law, ReqPath disclaims all warranties not expressly stated in these terms, whether express or implied, including fitness for a particular purpose. ReqPath is not liable for indirect, incidental, or consequential damages, and our total liability for any claim relating to the Service is limited to the amount the school paid us in the twelve months before the claim arose.

11. Termination

A school may stop using the Service and close its account at any time. We may suspend or terminate access if these terms are violated or if we discontinue the Service. When access ends, the right to use the Service ends. On request, we will provide a copy of the school's data before it is deleted, as described in our Privacy Policy.

12. Governing law

These terms are governed by the laws of the State of [State], without regard to its conflict of law rules.

13. Changes to these terms

We may update these terms as the Service and our business change. When we make material changes, we will update the date at the top of this page and, where appropriate, notify schools. Continued use after changes take effect means you accept the revised terms.
